This educational session will discuss the implications of various loan structures on CMBS investors. Further, it will analyze the differences among B-notes, mezzanine debt, pari passu loans and other high-yield and subordinate debt instruments.

CMBS 301_® M - CMBS Derivatives - Understanding and Application

The focus of this educational session is to review the three primary CMBS derivatives (CDS, CMBX, TRRS), outlining how each works mechanically; their application in the market (long vs. short); who uses the derivative(s); how the derivatives are priced/traded; and what drives the pricing/trading of each derivative.

This new 301 session will review the general workout process and how the process may be different in a securitization or multi-tier capital structure. Learn the role of the special servicer, the controlling holder, B-note holder and the mezzanine debt holder in the workout process. Discuss the servicing agreement and bankruptcy issues and find out if loan documents actually work the way they were intended to and if they adequately address the reality.
